Social Upgrade Media — Client Agreement

1. Services

Social Upgrade Media ("Social Upgrade", "we", "us") agrees to provide the services outlined in the selected package as described in this portal. Services commence on the agreed start date and continue on a rolling monthly basis following the minimum term.

2. Minimum Term

All packages carry a minimum term of 3 months from the start date. The client may not cancel services during this period. After the minimum term, either party may terminate with 30 days written notice sent to socialupgrademedia@gmail.com.

3. Payment Terms

  • Payment is due monthly, in advance, from the start date of services.
  • Invoices will be issued at the start of each month and are payable within 7 days.
  • Late payment (beyond 14 days) may result in suspension of services until the account is brought up to date.
  • All prices are exclusive of VAT. VAT will be applied at the applicable rate.
  • For Scale Upgrade (paid ads), the 20% management fee is calculated on the client's actual monthly ad spend and invoiced the following month.
  • For Workflow Upgrade, the one-off setup fee (€1,500–€3,500 depending on complexity) is payable before work commences. The monthly retainer (€300–€800/mo depending on scope) begins on the date of deployment.

4. Client Responsibilities

  • The client agrees to provide timely access to social media accounts, brand assets, and any information reasonably required to perform the services.
  • The client agrees to review and approve content within 48 hours of submission. Delays may affect the content schedule.
  • The client is responsible for ensuring all information provided to Social Upgrade is accurate and lawful.

5. Content Ownership

All content created by Social Upgrade on behalf of the client becomes the property of the client upon full payment for that period. Social Upgrade reserves the right to use work samples in its own portfolio and marketing materials unless the client requests otherwise in writing.

6. Paid Advertising (Scale Upgrade)

The client retains full ownership and control of their ad accounts at all times. Social Upgrade will never hold, transfer or mark up ad spend. The client is responsible for funding their own ad accounts. Social Upgrade is not liable for ad platform decisions, account restrictions or algorithm changes beyond our control.

7. AI Automation (Workflow Upgrade)

Upon delivery and final payment, all custom AI agent systems built by Social Upgrade become the property of the client. Social Upgrade provides a monthly retainer for monitoring, updates and improvements. The retainer does not cover major new builds, which will be scoped and quoted separately.

8. Confidentiality

Both parties agree to keep confidential all proprietary information, strategies, pricing and business data shared during the engagement. This obligation survives termination of the agreement.

9. Limitation of Liability

Social Upgrade shall not be liable for any indirect, consequential or incidental loss arising from the provision of services. Our total liability is limited to the monthly fees paid in the preceding 3 months.

10. Governing Law

This agreement is governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.
